| CONSTITUTION AND BY-LAWS Revision Date: July 13, 2004 |
ARTICLE 1: CORPORATE NAME
Section 1: This body is duly incorporated under the laws of the State of Connecticut as The Adoni
Spiritual Formation Center, Incorporated.
Section 2: No officer, incorporator or employee of this church, shall now or at any time in the
future, receive pecuniary profits from the operations of this church, except reasonable compensation
for services rendered. Any monies derived from the operation of this church shall be devoted to the
purpose of this church.
ARTICLE 2: MISSION
Section 1: The mission of The Adoni Spiritual Formation Center is to foster spiritual growth
through the worship of God as revealed in God the Father, God the Son, and God the Holy Spirit;
ministry that meets the spiritual, physical, and emotional needs of people; and fellowship.
ARTICLE 3: DISCIPLES
Section 1: Anyone who desires will be placed on the list of disciples of Adoni.
Section 2: The list of disciples will be reviewed annually. People on the list of disciples who have
not made a contribution during the previous year will be contacted and asked if they want to remain
on the list.
ARTICLE 4: GOVERNANCE
Section 1: The Adoni Spiritual Formation Center will be governed by the Holy Bible.
Section 2: The Elders Ministry will be the board of directors of The Adoni Spiritual Formation
Center and will have general oversight over all of the affairs of The Adoni Spiritual Formation Center.
Any issue that may arise that is not covered by the Constitution and By-Laws will be resolved by the
Elders Ministry.
A. The Elders Ministry will consist of 7 people who will be appointed or dismissed by
the Pastor.
B. The Pastor will be a member of the Elders Ministry and will be their leader.
C. The Elders Ministry is expected to support the direction established by the Pastor
as long as it doesn’t violate the word of God.
D. The Elders Ministry will operate under the principal of spirit-led unity, meaning
decisions will be made by unanimous consent as much as possible.
E. The Elders Ministry will meet at times designated by the Pastor or at the
written request of the Deacons Ministry or at least 4 other members of the Elders
Ministry.
ARTICLE 5: THE PASTOR
Section 1: The Pastor will be appointed for an indefinite period of time.
Section 2: The relationship between the Pastor and The Adoni Spiritual Formation Center can be
dissolved:
A. By the decision of the Pastor.
B. By the decision of all members of the Elders Ministry, excluding the Pastor, at a
meeting called solely for that purpose.
Section 3: The Pastor will be the leader of the Elders Ministry and will be responsible for the daily
operation of The Adoni Spiritual Formation Center, including the management, i.e. hiring, firing, and
daily supervision, of all staff.
Section 4: The Pastor will report to the Elders Ministry, who will also set the Pastor’s
compensation package annually.
Section 5: The Pastor will represent The Adoni Spiritual Formation Center at all meetings and
events of interest to the church. No one else can represent the church without the prior approval of
the Pastor.
Section 5: The Pastor will prepare the annual budget for approval by the Elders Ministry.
Section 6: The Pastor can name his/her successor during his/her tenure with the approval of the
Elders Ministry.
Section 7: If the Pastor is unable to or fails to name his/her successor, the Elders Ministry will be
responsible for conducting the search necessary to fill the vacancy.
Section 8: During a Pastoral vacancy, the Elders Ministry will be responsible for the daily
operation of The Adoni Spiritual Formation Center.
Section 9: The Pastor will appoint people who will serve as Associate Ministers.
ARTICLE 6: DEACONS MINISTRY
Section 1: The Deacons Ministry will assist the Pastor in administering communion, baptism,
pastoral care, and other duties as assigned by the Pastor.
ARTICLE 7: OPERATIONS MINISTRY
Section 1: The Operations ministry will maintain all properties, count and deposit all funds, and
be responsible for the processes associated with the basic operation of the church.
ARTICLE 8: SPIRITUAL FORMATION GROUPS MINISTRY
Section 1: The Spiritual Formation Groups Ministry will be the core ministry of The Adoni Spiritual
Formation Center.
Section 2: The Spiritual Formation Groups Ministry will coordinate all of the spiritual formation
groups and train people in the spiritual formation process.
ARTICLE 9: TREASURER
Section 1: The Treasurer will be appointed by the Pastor.
Section 2: The Treasurer is responsible for issuing checks in the name of the church and for
other financial duties as assigned by the Pastor.
Section 3: The Treasurer cannot have any responsibilities associated with the counting or deposit
of funds.
ARTICLE 10: MINISTRIES
Section 1: All ministries will be created with the approval of the Pastor.
Section 2: The leader of all ministries must have been baptized and committed to following the
Leadership Covenant.
Section 3: All ministries will keep accurate records of their meetings, including who attended and
the decisions made.
Section 4: No ministry can maintain an account separate from the accounts of The Adoni Spiritual
Formation Center.
Section 5: The members of all ministries, including their leaders, shall be appointed by the
Pastor.
ARTICLE 11: ANNUAL MEETING
Section 1: There will be an annual meeting of The Adoni Spiritual Formation Center where the
Elders Ministry will report on the events of the current year, present the budget and plans for the next
year, and solicit feedback from those in attendance.
Section 2: Notice of the date and time of the annual meeting will be posted at least 2 weeks
before the meeting.
Section 3: The annual meeting will be open to anyone who desires to attend.
ARTICLE 12: OTHER BY-LAWS
Section 1: Baptisms performed by all other Christian churches will be accepted by The Adoni
Spiritual Formation Center.
Section 2: The fiscal year of The Adoni Spiritual Formation Center will be January 1 through
December 31.
Section 3: All of the operations of The Adoni Spiritual Formation Center will be funded by the
collection of tithes, offerings, or donations. Grants that do not cause us to compromise our
organizing principles, motto, mission, vision, values, and leadership covenant can also be accepted.
No other means can be used to generate income.
Section 4: No one may endorse any political candidate, either verbally or in writing, using the
name of The Adoni Spiritual Formation Center in the endorsement.
